TRC® Peer License Program Terms & Conditions

These Terms and Conditions describe the permitted use of The Regulated Classroom materials by the designated license holder (“Licensee”). HERE this NOW, LLC is the licensor (“Licensor”).

1. License and Authorized Use

The Peer Training License is personal to Licensee and may not be transferred or shared.

Licensee may use the Licensed Marks and Licensed Materials solely to deliver the training authorized by their license within their own school or district. Training may be provided only to personnel within that school or district.

Licensee must follow Licensor’s training guidelines, use the materials as intended, and remain within the scope of the purchased license.

2. Licensed Marks and Materials

Licensed Marks consist of THE REGULATED CLASSROO® (U.S. Serial No. 99337208) and any associated logos, stylizations, or related brand identifiers owned or controlled by Licensor.

Licensed Materials consist of training materials made available by Licensor, including, as applicable:

• Guidebooks;

• Annotated slide decks;

• Training presentations;

• Self-directed study materials;

• Educator toolkits; and

• Access to Licensor’s community of practice and related resources.

3. Permitted Users

Use of the Licensed Materials is limited to the designated individual license holder and any employees or personnel expressly authorized under Schedule A of the full Trademark and Copyright License Agreement.

Licensee is responsible for ensuring that each permitted user complies with the Agreement. No other person may use Licensee’s trainer license.

4. Training Scope and Participant Limits

Total training time may not exceed a cumulative total of ninety (90) minutes during each two-year license term, unless Licensor provides written approval for additional training.

5. Restrictions

Unless expressly authorized in writing by Licensor, Licensee may not:

• Share, copy, distribute, post online, sell, or modify the Licensed Materials;

• Allow another person to use Licensee’s trainer license or materials;

• Train individuals outside Licensee’s own school or district;

• Provide training to other schools, districts, agencies, private groups, or external organizations;

• Create derivative training programs or materials; or

• Create or operate an independent consulting or training business using the Licensed Marks or Licensed Materials.

Licensee may not represent themselves as an employee, representative, or official spokesperson for The Regulated Classroom or HERE this NOW, LLC, or represent themselves as an authorized trainer beyond the scope of the Agreement.

6. Protection of Licensed Materials

Licensee must protect the Licensed Materials from unauthorized sharing and use and follow Licensor’s guidelines to maintain the quality and integrity of The Regulated Classroom framework.

7. Additional Fees

Additional Licensed Materials, toolkits, or services are subject to additional fees determined by Licensor.

8. License Term and Renewal

The license term is two (2) years from the Effective Date.

Renewal requires completion of a refresher training and payment of the applicable renewal fee.

9. Expiration or Termination

If the license expires or is terminated, Licensee must stop using the Licensed Marks and Licensed Materials and return or destroy licensed materials as required by the full Trademark and Copyright License Agreement.

10. Governing Agreement

Any use of the Licensed Marks or Licensed Materials not expressly permitted in Schedule A is prohibited.

These Terms and Conditions are provided for convenience and do not replace the full Trademark and Copyright License Agreement or its Schedule A. The full Agreement and Schedule A contain the complete terms governing the license and control in the event of any inconsistency.
